On February 11, 2019, Paula A. Price, a member of the Board of Directors of Western Digital Corporation (the Company), informed the Company that she has decided to resign from the Board of Directors in light of her increased responsibilities due to being named the chief financial officer of Macys, Inc. in July 2018. Ms. Prices resignation became effective on February 14, 2019. The decision of Ms. Price to resign was not the result of any disagreement with the Company on any matter relating to the Companys operations, policies or practices.

The Company issued a press release on February 15, 2019 announcing Ms. Prices decision to resign from the Companys Board of Directors. The press release making this announcement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

WESTERN DIGITAL ANNOUNCES CHANGES TO ITS BOARD OF DIRECTORS
SAN JOSE, Calif. Feb. 15, 2019 Western Digital Corp. (NASDAQ: WDC) announced that Paula A. Price has resigned from the companys board of directors to focus on her commitments and obligations as chief financial officer of Macys, Inc. Price joined the Western Digital board in July 2014. She was named chief financial officer of Macys, Inc. in July 2018, and also serves as a visiting executive for Harvard Business School. Prices resignation was effective on Feb. 14, 2019 and is not due to any disagreement with Western Digital on any matter relating to its operations, policies or practices.
The Western Digital management team and the Board would like to thank Paula for her valuable insight and contributions to the Board and company, said Matthew Massengill, Chairman of the Board. We understand and appreciate Paulas desire to focus more exclusively at this time on her leadership role at Macys. We wish Paula well on her current endeavors.
